ASSIGNMENT
19.1 Assignment
No insurance afforded by the Association, and no interest under terms of the Certificate of Insurance or under any contract between the Association and the Assured, may be assigned without the written consent of the Managers who shall have the right in their discretion to give or refuse such consent without stating any reason or to give such consent upon any such terms or conditions as they may think fit.
19.2 Set-off
The Association shall be entitled before making any payment to an assignee of the Assured to deduct or retain such amount as the Managers may then estimate to be sufficient to discharge any liabilities or potential liabilities of the Assured to the Association.
